Position Overview:
We are seeking an experienced freelance paralegal to work on a per-project basis. This is a remote, 1099 contractor role. The ideal candidate is detail-oriented, proactive, and brings prior experience in business and transactional legal matters. While hours are not guaranteed, this role is ideal for a skilled paralegal seeking flexible, project-based legal work.
Key Responsibilities:
Draft and revise legal documents, including:
Entity formation documents (LLC, corporation, nonprofit)
Governance documents (operating agreements, bylaws, board resolutions)
Business contracts (NDAs, independent contractor agreements, MSAs, employment agreements, TOS/privacy policies)
Perform legal research as needed, including by using LLMs and/or contacting regulatory authorities directly
Prepare and file documents with state authorities and the IRS (e.g., articles of incorporation, 1023s)
Required Qualifications:
Minimum of 1 year’s experience as a paralegal, preferably working on corporate and transactional matters
Excellent legal writing, proofreading, and organizational skills
Demonstrated ability to work independently, meet deadlines, and handle multiple projects simultaneously
High attention to detail and strong follow-through
Competence with secure cloud-based legal tools and document sharing
Reliable internet access and comfort working in a fully virtual environment
Preferred Qualifications:
Experience working with attorneys serving startups or small businesses
Certificate from an ABA-approved paralegal program or equivalent experience
Due to the nature of our work, the successful candidate will be required to sign a confidentiality and non-disclosure agreement prior to beginning any assignments, and must follow firm protocols for data security and client privacy.
